INTRODUCTION

These Terms and Conditions govern your access to and use of the services, programs, website, and materials provided by PowerShift Academy. By accessing the website at powershiftacademy.com or enrolling in any program, you agree to be bound by these Terms and Conditions.

If you do not agree to these Terms, you must not access or use the services.

DEFINITIONS

“Client” refers to any individual or entity purchasing or participating in the Company’s services.

“Services” refers to all coaching, mentorship, educational programs, consulting, events, digital products, and related materials provided by the Company.

ELIGIBILITY

By using the Services, you confirm that:

• You are at least 18 years of age.

• You have the legal capacity to enter into a binding agreement.

• All information you provide is accurate and complete.

SERVICES

PowerShift Academy provides business education, mentorship, training, and related advisory services. The Company does not guarantee specific financial results, income levels, or business outcomes.

Any examples, case studies, testimonials, or projections provided are for illustrative purposes only and do not guarantee similar results.

NO FINANCIAL OR LEGAL ADVICE

The Services are for educational and informational purposes only. Nothing provided by the Company constitutes financial, legal, tax, or investment advice.

Clients are solely responsible for seeking independent professional advice before making business or financial decisions.

FEES AND PAYMENT

All fees are stated at the time of purchase or enrollment. By enrolling in a program, you agree to pay the full amount due under the agreed payment terms.

If a payment plan is selected:

• You are responsible for completing all scheduled payments.

• Failure to make payments may result in suspension or termination of access.

• Outstanding balances may be referred to collections where permitted by law.

All payments are non refundable unless otherwise explicitly stated in writing.

REFUND POLICY

Unless a specific written guarantee is provided, all sales are final.

If a conditional guarantee is offered, it will be subject to strict compliance with the stated requirements. Failure to meet the requirements voids eligibility for a refund.

Refund requests must be submitted in writing within the timeframe specified in the applicable offer.

CLIENT RESPONSIBILITIES

Clients agree to:

• Act in good faith.

• Participate actively in the program.

• Implement advice and strategies at their own discretion.

• Maintain respectful communication with staff and other members.

The Company reserves the right to remove any Client who engages in disruptive, abusive, unlawful, or unethical behavior without refund.

INTELLECTUAL PROPERTY

All content provided by PowerShift Academy, including but not limited to videos, documents, templates, frameworks, branding, and training materials, remains the intellectual property of the Company.

Clients may not:

• Reproduce, distribute, or resell any materials.

• Share login credentials or program access.

• Record or distribute coaching calls without written permission.

Unauthorized use may result in immediate termination and legal action.

CONFIDENTIALITY

Clients agree to keep confidential any proprietary information shared within programs, including strategies, processes, and other members’ information.

The Company will take reasonable measures to protect Client information but cannot guarantee absolute security of online systems.

DISCLAIMERS

The Services are provided on an as is basis.

The Company makes no warranties, express or implied, regarding:

• Business success

• Income levels

• Investment performance

• Market conditions

You acknowledge that business involves risk and that you are solely responsible for your results.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, PowerShift Academy shall not be liable for:

• Indirect or consequential damages

• Loss of income, revenue, or profits

• Business interruption

• Decisions made based on program content

Total liability shall not exceed the amount paid by the Client for the relevant Service.

INDEMNIFICATION

You agree to indemnify and hold harmless PowerShift Academy from any claims, damages, liabilities, or expenses arising from:

• Your participation in the Services

• Your business activities

• Your breach of these Terms

TERMINATION

The Company may terminate access to Services at its discretion if a Client breaches these Terms.

Clients may discontinue participation at any time. However, payment obligations remain in effect unless otherwise agreed in writing.

THIRD PARTY TOOLS

The Company may recommend or integrate third party tools or platforms. PowerShift Academy is not responsible for the performance, reliability, or policies of third party services.

PRIVACY

Use of the Website and Services is also governed by the Company’s Privacy Policy.

MODIFICATIONS

The Company reserves the right to update or modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of Singapore.

Any disputes arising from these Terms shall be resolved in the appropriate courts of Singapore.
